The Client Entity remains responsible for:

• managing user access
• ensuring compliance with applicable obligations

Sesame reserves the right to:

• grant, restrict, suspend, or revoke access at any time, with or without notice

4. Account Security and Responsibilities

Users are responsible for:

• maintaining the confidentiality of login credentials
• ensuring that access is not shared with any third party
• all activities conducted under their account

Any unauthorized use or suspected breach must be reported immediately to: info@sesame-financial.com

Sesame shall not be liable for any loss arising from unauthorized use of credentials.

5. Permitted Use

Users may access and use the Services solely for:

• internal business purposes
• professional evaluation of financial information

Use of the Services must comply with all applicable laws and regulations, including financial regulatory frameworks applicable to professional clients.

6. Prohibited Use

Users shall not:

Sesame is not responsible for the availability, accuracy, or performance of such third-party services.

12. Availability of Services

Sesame does not guarantee:

• uninterrupted access
• error-free operation
• continuous availability

The Services may be modified, suspended, or discontinued at any time without notice.

13. Termination and Suspension

Access to the Services may be:

• suspended or terminated at any time
• deactivated upon termination of the relationship with the Client Entity
• modified based on administrative decisions

Upon termination:

• all rights to use the Services cease immediately

14. Limitation of Liability

To the fullest extent permitted by applicable law:

Sesame Financial Group SA and its affiliates shall not be liable for any direct, indirect, incidental, consequential, or special damages, including but not limited to:

• financial losses
• loss of profits
• loss of data
• business interruption

arising out of or in connection with:

• use or inability to use the Services
• reliance on any information provided
• errors, omissions, or inaccuracies
• system interruptions or delays

15. Indemnification

Users and, where applicable, their Client Entity agree to indemnify and hold harmless Sesame Financial Group SA from and against any claims, damages, liabilities, and expenses arising from:

• misuse of the Services
• breach of these Terms
• violation of applicable laws or regulations

16. Regulatory Positioning

The Services are provided:

• for professional clients and eligible counterparties
• in alignment with applicable regulatory frameworks, including MiFID II principles

The Services do not constitute:

• regulated investment research
• a prospectus under Swiss, EU, or other applicable laws

17. Changes to the Terms

Sesame reserves the right to update or modify these Terms at any time.

Updated Terms will be made available through the Services or Website.

Continued use of the Services constitutes acceptance of the updated Terms.

18. Force Majeure

Sesame shall not be liable for any failure or delay resulting from events beyond its reasonable control, including but not limited to:

• natural disasters
• acts of government
• network failures
• cyber incidents

19. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

20. Waiver

Failure to enforce any provision of these Terms shall not constitute a waiver of such provision or any other rights.

21. Entire Agreement

These Terms, together with the Privacy Policy and Disclaimer, constitute the entire agreement governing the use of the Services.

22. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Switzerland.

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Geneva, Switzerland.
